5. Client Responsibilities

- Make payments according to agreed terms.
Delays in receiving approvals or required information may affect project timelines.
6. Fees and Payments

- All quotations are valid for the period specified in the quotation.
- Invoices are payable within the agreed payment period.
- Projects may require an upfront deposit before work commences.
- Jujaya Media reserves the right to suspend work where payments become overdue.
- Outstanding balances may attract interest or recovery costs where permitted by law.
All applicable taxes shall be payable by the client unless otherwise stated.
7. Intellectual Property
Unless otherwise agreed in writing:
- Jujaya Media retains ownership of its methodologies, concepts, templates, proposals, processes, and proprietary materials.
- Clients receive ownership or usage rights only after full payment for the agreed deliverables.
- Third-party licensed materials remain subject to their respective licence terms.
- Jujaya Media reserves the right to showcase completed work in its portfolio unless a written confidentiality agreement provides otherwise.
8. Confidentiality
Both parties agree to keep confidential all proprietary, commercial, financial, technical, and strategic information obtained during the course of the engagement.
Confidential information shall not be disclosed without prior written consent unless required by law.
9. Acceptable Use
Users shall not:
- Use our website for unlawful purposes.
- Attempt to gain unauthorised access to our systems.
- Upload malicious software or harmful code.
- Infringe intellectual property rights.

16. Force Majeure

Upon termination:
- Outstanding invoices become immediately payable.
- Work completed up to the termination date shall remain payable.
- Confidentiality obligations shall continue after termination.

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
Any disputes shall first be resolved through good-faith negotiations. Where a resolution cannot be reached, the matter shall be submitted to the competent courts of Kenya.

Jujaya Media reserves the right to update or revise these Terms & Conditions at any time.
